Official Rules for BUENO “Closet Makeover” Promotion

Open to legal residents of Canada only. Purchase will not improve chances of winning. Governed by the laws of Canada. Please do not proceed if you are not a legal resident of Canada at time of entry.

1. ELIGIBILITY: To enter and be eligible to win, a person must be a legal resident of Canada, who is 18 years of age or older at the time of entry into the Contest. Employees, officers and directors (including immediate family members and members of the same household of such persons, including common law spouses) of Ferrero Canada Limited / Ferrero Canada Limitée (the "Sponsor"), agents, advertising or promotional agencies, and the independent contest organization are not eligible to enter the Contest.

2. HOW TO ENTER: The Contest commences at 12:01 am (ET) on March 1, 2011 and ends at 11:59 PM (ET) on October 31, 2011 (the "Promotional Period"). To participate in this promotion, you will require a unique PIN which can be found inside specially-marked 43g BUENO bars. Unique PIN can only be used once. All entries must be received by 11:59 PM (ET) on October 31, 2011 (the "Contest Closing Date").

   a. To enter visit www.kinderbueno.ca/closetmakeover and select your language of preference.

   b. Enter your 7-digit unique PIN found inside specially marked 43g BUENO bars and select “Submit”.

   c. Upon receipt, your 7-digit unique PIN will be verified. If valid, a second webpage will be provided; proceed to Rule 2d or 2e. If your 7-digit unique PIN is invalid you will receive a message advising that the 7-digit unique PIN does not match or has already been used and to try again. Please check to ensure you have entered the correct PIN.

   d. First Time Participants: If this is your first time participating in this promotion, select “New Registration” and complete the online Registration Form by (a) entering your full name, complete mailing address including postal code, daytime telephone number and date of birth; (b) entering and confirming your e-mail address; (c) entering and confirming a password; (d) selecting the opt-in box, if you wish to receive future news or offers from Ferrero Canada Limited/ Ferrero Canada Limitée (optional); (e) reading and accepting the Official Rules; (f) answering the optional questions; and (g) selecting “Submit”; proceed to Rule 2f.

   e. Returning Participants: If you have already completed the registration form select “log in” and enter your e-mail address, password and click on “Submit”. Upon selecting “Submit” proceed to Rule 2f. If you forgot your password “select” forgot my password”.

   f. The next webpage will provide a confirmation message confirming that you have been entered into the Grand Prize Draw and provide you with one (1) of the following messages: “Congrats! You are an eligible Instant Winner”; or “Sorry, you are not an Instant Winner”. If you received “Congrats! You are an eligible Instant Winner” proceed to Rule 2g. If you received a “Sorry, you are not an Instant Winner” you are not an instant winner, but you can try again with another unique PIN. A maximum of ten unique PIN can be entered per day per e-mail address.

   g. All eligible Instant Winners will be required to first correctly answer without mechanical assistance of any kind the mathematical skill-testing question posed on the contest webpage within five (5) minutes. Enter your answer on the contest webpage and select "submit". Upon receipt your answer will be verified and if it is correct you will receive a "Congratulations you are a Winner of a $100 Mall Gift Card” message, proceed to Rule 6b. If you have incorrectly answered the mathematical skill-testing questions regretfully you will be disqualified and do not qualify for the prize. Any incorrect answers to the mathematical skill-testing question will receive a “Sorry your answer to the mathematical skill-testing question was incorrect and regretfully you are disqualified”.

3. NO PURCHASE NECESSARY: To request a Unique PIN without purchase and while supplies last, send a self-addressed stamped envelope to: BUENO Closet Makeover PIN request, P.O. Box 30005, 5979 Baldwin St. S, Whitby, ON, L1M 0B5. Limit one (1) request per day, per household. Each mail-in request must be mailed in a separate envelope, bearing sufficient prepaid postage.

4. TELL A FRIEND: Upon completion of your online entry, you will receive a webpage with directions of how you can “tell a friend” about the Contest. E-mail addresses of third parties submitted through the “Tell a friend” feature are not stored or retained by the Sponsor. Entrants can tell as many friends as they would like. Make sure you have your friend’s permission before submitting their e-mail address.

5. LIMIT OF NUMBER OF ENTRIES: A person may only use a unique PIN once. A person may only use one (1) e-mail address to participate in the Contest (validated by name & address). Any person who is found to have entered the Contest with more than one (1) e-mail address will be disqualified and all such entries received by such person during the Promotional Period will be disqualified. Proof of transmission (screenshots or captures, etc.) does not constitute proof of delivery. Entries generated by script, macro, robotic, programmed, or any other automated means are prohibited and will be disqualified. The Sponsor will not be responsible for late, lost, illegible, falsified, damaged, misdirected, mutilated, garbled or incomplete entries, which will be void. All entries become the property of the Sponsor upon receipt and none will be returned.

6. PRIZES: There will be one (1) Grand Prize available to be won and twenty five (25) Instant Win Prizes available at the start of the Promotion (each a “Prize”).

   a. Grand Prize: There will be one (1) Grand Prize available to be won from all eligible entries received by the Contest Closing Date. The Grand Prize consists of the winner selecting one component or a combination of i) a new wardrobe;

      ii) engaging the services of a fashion consultant; and/ or iii) a closet renovation. Approx. Value of Grand Prize package (options 1 thru 4) is $10,000.00 CDN.

      Grand Prize Option #1 - New Wardrobe: The winner will be awarded a $10,000 Mall Gift Card (valued at approx. $10,000.00 CDN) to be used for a new wardrobe.

       Grand Prize Option #2 - Fashion Consultant: The winner will be awarded a fashion stylist consultation (valued at $500.00 CDN) in person, by phone or by email, depending on the location of the winner. (Winner to supply the Sponsors with photos of wardrobe and/ or other elements necessary to conduct the consultation upon request) and a $9,500 Mall Gift Card (valued at approx. $9,500.00 CDN) to be used for a new wardrobe.

       Grand Prize Option #3 - Closet Makeover: The winner will be awarded $10,000.00 CDN in the form of a cheque to be used for a closet renovation.

       Grand Prize Option #4 - Combination Package: The winner will be awarded a fashion stylist consultation (valued at $500.00 CDN) in person, by phone or by email, depending on the location of the winner. (Winner to supply the Sponsors with photos of wardrobe and/ or other elements necessary to conduct the consultation upon request) and $9,500.00 CDN in the form of a cheque to be used towards the purchase of a closet renovation and a new wardrobe. Winner may divide the Prizes in proportion at their discretion.

   b. Instant Win Prizes: There are twenty five (25) Instant Win Prizes available to be won during the Promotional Period. Prior to the commencement of the Contest, there will be a total of twenty-five (25) randomly selected Instant Win Prize dates and times. Odds of winning an Instant Win Prize will depend on the day and time of your entry. The entrant who visits www.kinderbueno.ca/closetmakeover and enters the 7 digit unique PIN at the pre-selected date and time or is the closest entrant after the pre-selected Instant Win Prize date and time will be directed to a webpage which identifies them as the potential Instant Winner. Each Instant Win Prize consists of a $100 Mall Gift Card (approximate retail value $100.00 CDN). By accepting delivery of your Instant Win Prize each entrant confirms compliance with the Official Rules, acknowledge that the Instant Win Prize must be accepted as awarded and cannot be substituted or transferred and has no cash surrender value, consent to the use of your name, address and/or photographs, without further remuneration, in connection with any publicity carried out by or on behalf of the Sponsor with respect to the Contest, and release the Sponsor, its respective affiliates, advertising and promotional agencies, the independent contest organization, and their respective shareholders, directors, officers, employees, and agents from any and all liability for any injuries, loss or damage of any kind arising from or in connection with the awarding and use of an Instant Win Prize or the Contest. Instant Win prizing will be sent by mail within 45 days of your Instant Win Date. If any Instant Win prize is returned as undeliverable, Instant Win winners will forfeit their Instant Win prize and the Instant Win prize will not be awarded. Each Instant Winner agrees to accept the prize as awarded and confirm that the prize is not transferable. Sponsor retains the right, in its absolute discretion, to make substitutions of equivalent kind or value in the event of the unavailability of any component of the prize for any reason. The decisions of Sponsor on all issues relating to the contest will be final and binding on all entrants. As Instant Win Prizes are awarded, the number of Instant Win Prizes available to be won will be reduced accordingly.

7. GRAND PRIZE DRAW: The Grand Prize will be conducted on November 7, 2011 at 10:00 AM (ET) in Whitby, ON from all eligible entries received by the Contest Closing Date of October 31, 2011. Odds of being selected for the Grand Prize will depend on the total number of eligible entries received on or before the Contest Closing Date. The selected entrant will be contacted by mail/courier or telephone within ten (10) business days of the Draw Date. In the event that the selected entrant cannot be contacted within ten (10) business days by mail/courier or telephone, the selected entrant will be disqualified, and his/her entitlement to receive the Prize will be forfeited and an alternate eligible entrant will be randomly selected from the remaining eligible entries received and the above process will be repeated. As a condition of being declared a Winner, the selected entrant must first correctly answer without assistance of any kind, whether mechanical or otherwise, a mathematical skill-testing question to be administered by mail/courier or telephone at a mutually agreed upon time. In the event that the selected entrant incorrectly answers the mathematical skill-testing question, he/she will be disqualified and another entrant will be randomly selected and the above process will be repeated. This process will be repeated until such time as there is one (1) confirmed Grand Prize Winner, and/or no more entries are available.

8. RELEASE FORM: The selected Grand Prize entrant must complete and return the Sponsor’s Declaration of Compliance and Release of Liability and Publicity Release Form (the “Form”) within fourteen (14) days from the date of receipt. By completing and returning the Form, and accepting the Prize, the Winner confirms compliance with the Official Rules, acknowledges that the Prize must be accepted as awarded and cannot be substituted or transferred and has no cash surrender value, releases the Sponsor, its affiliated and related companies, advertising and promotional agencies, the independent contest organization and their respective shareholders, directors, officers, employees and agents from and against all liability in connection with the Contest and the awarding and use of the Prize, and consents to the use of his/her name, address (city and province) and/or photographs, without further remuneration, in connection with any publicity carried out by or on behalf of the Sponsor with respect to this Contest. The Form must be returned within the time period specified or the Prize will be forfeited. Upon receipt of the duly executed Form, the Sponsor or a designated agent will contact the Winners by telephone within ten (10) days to begin making the necessary arrangements for his/her Prize.

9. CONDITIONS OF ENTRY: By entering the Contest, entrants (i) acknowledge compliance with these Official Rules including all eligibility requirements, and (ii) agree to be bound by the Official Rules and by the decisions of the independent contest organization, made in its sole discretion, which shall be final and binding in all matters relating to this Contest. Entrants who have not complied with these Official Rules will be disqualified.

10. If a dispute arises regarding who submitted an online entry, the entry will be deemed to have been submitted by the authorized account holder of the e-mail address provided at the time of entry. The authorized account holder is defined as the natural person who is assigned an e-mail address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

11. GENERAL: The Sponsor and the independent contest organization do not assume any responsibility and are not responsible for: (i) the incorrect or inaccurate capture of entry information; (ii) entries which fail to comply with the Official Rules; (iii) any loss, damage, or claims caused by the awarded Prize or the Contest itself; (iv) any failure of the website during the Promotional Period, including any problems, human or technical error, printing errors, lost, delayed, garbled data or transmissions, omissions, interruption, deletion, defect or failures of any telephone or computer lines, or technical malfunction of any computer online systems, servers, access providers, computer equipment, software, failure of any e-mail; online entry to be received on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage to an entrant's or any other person's computer related to or resulting from downloading any material in the Contest, all of which may affect a person’s ability to participate in the Contest; or (v) any other matter whatsoever. Entry material/data that have been tampered with or altered are void.

12. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrants and the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, (i) the laws of the Province of Québec and construed in accordance with the Federal, Provincial, and Municipal laws applicable therein in respect of residents of the Province of Québec, and (ii) the laws of the Province of Ontario and construed in accordance with the Federal, Provincial, and Municipal laws applicable therein in respect of residents of the other Canadian provinces and territories, without regard to conflicts of law principles. Any attempt by a participant or any other individual to deliberately damage any website or undermine the legitimate operation of the Contest may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.

13. In the event, due to production and/or programming error, that more than the advertised numbers of Instant Win Prizes are claimed, the Sponsor shall cease to award the Instant Win Prizes and there will be a random draw on November 7, 2011 at 9:00 AM (ET) in Whitby, ON amongst all eligible Instant Win Prize claimants from the time that the awarding of Prizes was ceased to award the correct number of Instant Win Prizes after the Contest Closing Date. In no event will the Sponsor be responsible or liable for more than the stated number of Instant Win Prizes in Rule #6.

14. The Sponsor reserves the right, with the consent of the Régie des alcools, des courses et des jeux, to terminate or suspend this Contest or to amend the Official Rules at any time and in any way, without prior notice. Without limiting the foregoing, if, for any reason, the Contest is not capable of running as originally planned, such as tampering or infection by computer virus, the Sponsor reserves the right, with the consent of the Régie des alcools, des courses et des jeux, to cancel the Contest and conduct the draws from all previously eligible entries received by the date of cancellation.

15. Any litigation respecting the conduct or organization of a publicity contest in Québec may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie des alcools, des courses et des jeux only for the purpose of helping the parties reach a settlement.

16. CONSENT TO USE PERSONAL INFORMATION: When you voluntarily choose to register electronically and participate in the Contest, personal information including, but not limited to e-mail address, first name, last name, date of birth, city, province, postal code, and home phone number (collectively "Registrant Information") will be collected from you by the Sponsor. By entering this Contest electronically and providing your Registrant Information, you only consent and agree to: the Sponsors' collection and use of the Registrant Information to administer this Contest, unless you have consented to receive future marketing and promotional information from Ferrero Canada Limited/ Ferrero Canada Limitée in accordance with Ferrero’s Privacy Policy at www.kinderbueno.ca.

17. The Contest rules are available at Ferrero Canada Limited/ Ferrero Canada Limitée, located at 100 Sheppard Ave. E. Suite 900, Toronto ON, M2N 6N5 and online at .

18. In no event shall the Sponsor be held liable where their inability to act results from a fact or situation beyond their control or from a strike, lock-out or any other labour dispute in their facilities or in the facilities of the organizations or companies whose services are used in the course of holding this Contest.

19. Any and all taxes assessed as a result of receiving a Prize will be the responsibility of the respective winner. Any other costs in connection with a Prize are the responsibility of the respective winner.

20. In case of incompatibility between the English and the French version of the present Rules, the English version shall prevail.
